Terms of Service

These Terms of Service ("Terms") govern your access to and use of howtorestructure.com and any materials, downloads, or tools made available through it (the "Site"), operated by Restructur, a restructuring practice of Atlas Systems Co., LLC, incorporated in Michigan ("Restructur," "we," "us"). By using the Site you agree to these Terms.

1. No engagement created by the Site

Visiting the Site, downloading the Business Intelligence Report, or submitting an intake form does not create an attorney-client relationship, accountant-client relationship, or any other professional or fiduciary relationship with Restructur or any professional we work with. An engagement is created only by a written engagement letter signed by both parties.

2. No legal, tax, or accounting advice

Restructur is a business restructuring and management firm. It is not a law firm and does not provide legal advice. It is not an accounting firm and does not provide tax advice. Information on the Site is general and educational in nature and is not a substitute for advice from a licensed attorney, CPA, or other qualified professional for your specific situation.

3. Eligibility

The Site is intended for owners, officers, and authorized representatives of U.S.-based for-profit businesses. You represent that you are at least 18 years old and authorized to provide the information you submit.

4. Accuracy of information you provide

You agree that information you submit through intake forms, reports, or other channels is accurate and complete to the best of your knowledge. The Business Intelligence Report and any preliminary analysis we provide rely on the inputs you supply; results are illustrative and are not a guarantee of any specific outcome.

5. No outcome guarantees

Restructuring outcomes depend on facts, creditor behavior, court action, and other variables outside our control. Nothing on the Site is a promise that any specific debt will be reduced, eliminated, delayed, settled, restructured, or recharacterized.

6. Intellectual property

The Site, including text, graphics, logos, the "Restructur" name, the Business Intelligence Report template, and the eight-pillar methodology, is owned by Atlas Systems Co., LLC and protected by U.S. and international law. You may view and download materials for your own internal, non-commercial evaluation. You may not copy, redistribute, resell, or create derivative works without our prior written consent.

7. Acceptable use

You agree not to (a) use the Site to violate any law; (b) attempt to gain unauthorized access to the Site or its underlying systems; (c) interfere with or disrupt the Site; (d) scrape, harvest, or mass-download content; or (e) submit information about third parties without authority to do so.

8. Third-party links and services

The Site may link to third-party websites or services. We do not control and are not responsible for the content, terms, or privacy practices of third parties.

9. Disclaimers

The Site and all materials are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

10. Limitation of liability

To the maximum extent permitted by law, Restructur and its affiliates, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising out of or related to your use of the Site. Our aggregate liability for any claim arising out of or related to the Site is limited to one hundred dollars (US$100).

11. Indemnification

You agree to indemnify and hold Restructur harmless from claims arising out of your use of the Site, your violation of these Terms, or your violation of any law or third-party right.

12. Governing law and venue

These Terms are governed by the laws of the State of Michigan, without regard to its conflict-of-laws rules. Any dispute arising out of or related to the Site or these Terms will be brought exclusively in the state or federal courts located in Michigan, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
